2.2 Interpretation

Any mention of a law covers that law as it may be amended, extended, re-enacted or replaced over time.

Headings are there to help you find your way and do not change the meaning of the Terms.

3About Job Pro

3.1

Job Pro is a recruitment business. We find, introduce and recruit candidates for both permanent and contract roles.

3.2

For Clients we provide recruitment services, and for Candidates we provide work-finding services.

3.3

Under the relevant legislation, Job Pro may act as an employment agency, an employment business, or both, depending on how a particular recruitment engagement is set up.

3.4

No part of the Website is an offer of employment from Job Pro or from any Client.

3.5

The purpose of the Website is to help Candidates, Clients and Job Pro communicate, and to share information about recruitment opportunities and our Services.

4Using the Website

4.1

The Website may only be used for lawful purposes.

4.2

When using the Website, you must not:

  1. act for any purpose that is unlawful, fraudulent or malicious;
  2. access any part of the Website, or any system connected to it, without authorisation;
  3. introduce viruses, malware, ransomware, spyware or any other harmful material;
  4. disrupt how the Website runs or undermine its security or integrity;
  5. try to get into accounts, databases, servers or networks without authorisation;
  6. copy, reproduce, alter or exploit Website Content unless this is expressly allowed;
  7. pretend to be another person or organisation;
  8. provide information you know is untrue, misleading, inaccurate or fraudulent;
  9. provide personal information about someone else without proper authority;
  10. extract data from the Website using bots, scraping tools, automated systems or similar technology, unless we have given written permission in advance; or
  11. do anything that could damage, disable, overload or impair the Website.

4.3

If we reasonably believe these Terms have been broken, or that it is needed for security, legal or operational reasons, we may suspend or limit access to the Website.

5Website content

5.1

We take reasonable steps to keep the information on the Website accurate and current.

5.2

Even so, details such as vacancies, salaries, job descriptions, locations, requirements and availability can change without warning.

5.3

We cannot promise that:

  1. a given vacancy will stay open;
  2. a Candidate will be shortlisted, invited to interview or offered a job;
  3. a Client will take on a Candidate;
  4. a particular salary, benefit, working pattern or other term of employment will be offered in the end;
  5. the Website will be available at all times or without interruption; or
  6. the Website Content will be entirely free of errors or omissions.

5.4

Job adverts are published for general recruitment purposes. They are not legally binding job offers.

5.5

Final decisions about recruiting, employing, engaging or appointing anyone are the Client’s own responsibility.

5.6

It is up to each Candidate to decide whether an opportunity is right for them.

6Job adverts

6.1

We may advertise vacancies for our Clients.

6.2

Where we advertise a vacancy for a Client, Job Pro acts as a recruitment intermediary and is not the employer, unless we clearly say otherwise.

6.3

We can change, pause, withdraw or take down a vacancy whenever we need to.

6.4

Reasons a vacancy might be withdrawn include:

  1. the Client has filled the role;
  2. the Client’s requirements have changed;
  3. the recruitment process has been put on hold;
  4. the role is no longer available; or
  5. we reasonably believe taking it down is the right thing to do.

6.5

We aim to make sure our job adverts meet the relevant recruitment laws and regulatory requirements.

6.6

As the rules for employment agencies and employment businesses require, our adverts will name Job Pro as the recruitment business and give suitable details about what kind of opportunity is on offer.

6.7

A job advert does not promise any Candidate an offer of employment or engagement.

7Applying for roles

7.1

Through the Website, Candidates can apply for vacancies and send or upload a CV and other details.

7.2

When you send us an application, CV or other information, you are confirming that:

  1. what you have told us is accurate and not materially misleading;
  2. the information is about you, or you are authorised to share it;
  3. you have not knowingly left anything out that would make the application materially misleading; and
  4. you are entitled to share any documents or details you send.

7.3

Please tell us if anything you have already given us becomes materially wrong or out of date.

7.4

Sending an application does not oblige Job Pro or any Client to shortlist, interview, employ or engage you.

7.5

We may use the information Candidates give us to judge their fit for vacancies and to deliver recruitment services, in line with our Privacy Notice and data protection law.

8CVs and personal information

8.1

Candidates can choose to send us CVs, cover letters, qualifications, work histories and other details through the Website.

8.2

Any personal information sent through the Website may be processed for recruitment and related purposes, as set out in our Privacy Notice.

8.3

Where it is reasonably needed for recruitment and the law allows it, we may pass relevant Candidate information to Clients.

8.4

Please do not send sensitive personal information through the Website unless we have asked for it or the recruitment process needs it.

8.5

Any processing of special category data or criminal offence data will follow the relevant data protection laws and legal requirements.

8.6

Where it is relevant to a recruitment process and the law allows or requires it, we may carry out reasonable checks on matters such as identity, qualifications, experience, references and right to work.

9Vacancies from clients

9.1

Clients, and businesses thinking of becoming Clients, can send us vacancies through the Website.

9.2

Sending us a vacancy does not, by itself, form a contract between the Client and Job Pro.

9.3

Any recruitment engagement depends on Job Pro accepting it and, where relevant, on separate Terms of Business or other contract documents.

9.4

A Client sending a vacancy promises that the details are accurate and full enough for the role to be properly assessed and, where suitable, advertised.

9.5

Clients must not send vacancies that:

  1. are unlawful or discriminatory;
  2. would require a Candidate to take part in anything unlawful;
  3. include misleading information;
  4. infringe anyone else’s rights;
  5. discriminate unlawfully on the grounds of a protected characteristic; or
  6. otherwise break employment, equality, immigration, recruitment or any other law.

9.6

It is the Client’s responsibility to make sure the vacancy details it gives Job Pro are accurate, lawful and current.

10Regulatory compliance

10.1

Job Pro carries out its recruitment work in line with the relevant laws and regulatory requirements. Where they apply, these include:

  1. the Employment Agencies Act 1973;
  2. the Conduct of Employment Agencies and Employment Businesses Regulations 2003, as amended;
  3. relevant UK employment law;
  4. the Equality Act 2010;
  5. relevant right-to-work and immigration rules;
  6. the UK General Data Protection Regulation (“UK GDPR”);
  7. the Data Protection Act 2018; and
  8. any other relevant laws and regulatory requirements.

10.2

Depending on how an engagement is structured, Job Pro may act as an employment agency for permanent recruitment and as an employment business when it supplies temporary or contract workers.

10.3

Where the law requires it, Candidates and Clients will be given statutory information separately.

10.4

When Job Pro acts as an employment business, the work-seeker concerned may be subject to separate terms of engagement and receive other information the law requires.

10.5

If the law requires it, that information may cover pay, working arrangements, notice periods, holiday entitlement, contractual status and other details of the assignment.

10.6

These Website Terms are not a substitute for any statutory information, Candidate terms, Key Information Document, assignment paperwork, Client Terms of Business or other contract documents the law requires.

11Right to work and checks

11.1

Where relevant, Candidates may be asked to show evidence of their identity, qualifications, professional memberships, experience, right to work or other relevant details.

11.2

Job Pro may carry out any checks that are reasonably needed or required for the role in question.

11.3

Candidates must give accurate information and must not provide documents that are fraudulent, altered or misleading.

11.4

Clients may run their own checks too, and where the law applies it remains the Client’s responsibility to be satisfied that a Candidate is suitable and eligible to work.

12Intellectual property

12.1

Except where we say otherwise, Job Pro owns, or is licensed to use, all intellectual property rights in the Website and its Content.

12.2

Among other things, this covers:

  1. trade marks and branding;
  2. logos;
  3. the design of the Website;
  4. text;
  5. graphics;
  6. photos;
  7. databases;
  8. page layouts;
  9. software; and
  10. any other material provided through the Website.

12.3

You may view and use Website Content for personal or internal business use linked to genuine recruitment activity.

12.4

Unless the law expressly allows it, you must not reproduce, republish, distribute, sell, license, alter, transmit or commercially exploit any Website Content without our written permission in advance.

12.5

These Terms do not pass ownership of any intellectual property rights to you.

13Content you send us

13.1

If you send us a CV, application, vacancy details, document, image or any other material, you keep any intellectual property rights you already hold in it.

13.2

In sending it, you give Job Pro a worldwide, non-exclusive and royalty-free licence to use, copy, store, adapt and disclose that material as far as is reasonably needed to run the Website and deliver recruitment services.

13.3

The licence lasts for as long as is reasonably needed for those purposes, subject to data protection requirements and our retention policies.

13.4

You promise that you are entitled to provide the material you send, and that using it as described above will not infringe anyone else’s rights.

14Data protection and privacy

14.1

Protecting personal data matters to us.

14.2

We process personal data under the relevant data protection laws, including the UK GDPR and the Data Protection Act 2018.

14.3

Our Privacy Notice sets out:

  1. the personal information we collect;
  2. our reasons for collecting it;
  3. the lawful bases we rely on to process it;
  4. how it is used and who it is shared with;
  5. how long we keep it;
  6. the rights you have over your data; and
  7. how to get in touch with us about personal data.

14.4

Please read our Privacy Notice before you send us any personal information through the Website.

14.5

If outside providers of recruitment, hosting, analytics, communications or other technology process personal information for us, we aim to have suitable contractual and security arrangements in place, as the law requires.

15Cookies and similar technologies

15.1

Cookies and similar technologies may be used on the Website.

15.2

They may be used, for example, to:

  1. make the Website work;
  2. help the Website perform better;
  3. remember your preferences;
  4. see how visitors use the Website; and
  5. measure or improve our recruitment and marketing work.

15.3

The exact cookies and technologies we use can change over time.

15.4

Where relevant, details of cookies and similar technologies, including any consent you need to give, will be provided in our Cookie Policy, through the Website’s cookie controls, or both.

15.5

Your browser settings may let you manage cookies. Turning some cookies off may stop parts of the Website working properly.

16Other websites and services

16.1

The Website may link to websites, platforms or services run by third parties.

16.2

These links are there purely for convenience.

16.3

We have no control over third-party websites, and Job Pro is not responsible for:

  1. whether they are available;
  2. what they contain;
  3. how they handle privacy;
  4. how secure they are;
  5. their terms and conditions; or
  6. any loss you suffer from using them.

16.4

When you use a third-party service, that third party’s own terms and policies apply.

17Security

17.1

We use reasonable technical and organisational measures to keep the Website protected.

17.2

Even so, no website, internet transmission or electronic storage can be guaranteed to be fully secure.

17.3

You accept that sending information over the internet carries risk.

17.4

You should take sensible steps to protect your own devices, accounts and information, such as keeping suitable security software and passwords in place.

17.5

If you learn of any suspected security weakness or unauthorised access affecting the Website, you must tell us promptly.

18Availability

18.1

We try to keep the Website reasonably available.

18.2

From time to time, though, it may be unavailable because of:

  1. maintenance;
  2. upgrades;
  3. technical faults;
  4. cyber security incidents;
  5. telecoms or internet outages;
  6. failures of third-party services; or
  7. events outside our reasonable control.

18.3

Where reasonably needed, we may change, suspend or stop any part of the Website without giving notice.

19No guarantee of work

19.1

Using the Website or our Services does not guarantee that a Candidate will be employed or engaged, and Job Pro makes no such promise.

19.2

In the same way, there is no guarantee to Clients that a vacancy will be filled or that a particular Candidate will be available.

19.3

All recruitment decisions depend on the Client’s requirements, its selection process and the law.

19.4

We cannot promise that any vacancy, Candidate or recruitment opportunity will remain available.

20Disclaimers

20.1

As far as the law allows, Website Content is provided for general information and recruitment purposes.

20.2

We give no warranty that the Website or its Content will at all times be:

  1. accurate;
  2. complete;
  3. up to date;
  4. available;
  5. free of interruption;
  6. secure; or
  7. free of viruses or other harmful elements.

20.3

These Terms do not exclude any liability that the law does not allow us to exclude.

21Limits on liability

21.1

These Terms do not exclude or limit our liability for:

  1. death or personal injury resulting from negligence;
  2. fraud or fraudulent misrepresentation;
  3. fraudulent concealment;
  4. breach of statutory rights that cannot lawfully be excluded; or
  5. any other liability that the law does not allow to be excluded or limited.

21.2

Subject to clause 21.1, Job Pro will not be liable for any indirect or consequential loss caused by your use of the Website, or by your being unable to use it.

21.3

Subject to the law, we are not responsible for any loss caused by:

  1. relying on information in a job advert;
  2. a vacancy being changed or withdrawn;
  3. a Client deciding not to recruit;
  4. a Candidate deciding not to take up an opportunity;
  5. information provided by a Candidate or Client;
  6. third-party websites or services; or
  7. the Website being unavailable.

21.4

This clause does not affect any separate liability under a contract between Job Pro and a Client, Candidate or anyone else.

22Indemnity

22.1

As far as the law allows, you agree to indemnify Job Pro for reasonable losses, liabilities, costs and expenses that result directly from your unlawful use of the Website or your material breach of these Terms.

22.2

This does not apply to any loss to the extent it was caused by our own negligence, breach of contract or unlawful behaviour.

23Complaints

23.1

To make a complaint about the Website or our recruitment services, please get in touch using the contact details at the bottom of this page.

23.2

We will look at every complaint fairly and aim to reply within a reasonable time.

23.3

If a complaint concerns recruitment activity regulated by law, we will deal with it under our internal procedures and in line with our regulatory obligations.

24Changes to these Terms

24.1

These Terms may be updated by us from time to time.

24.2

Any updated version will be posted on the Website with a new “Last updated” date.

24.3

If you keep using the Website after updated Terms are posted, you will be treated as accepting them, subject to any rights you have in law.

24.4

If a change is material and the law requires extra notice or consent, we will take suitable steps to provide it.

25Transfer of rights

25.1

Without our written consent in advance, you may not assign, transfer or otherwise deal with any of your rights or obligations under these Terms.

25.2

We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, sale of the business, corporate reorganisation or transfer of the Website or related business assets, as long as your statutory rights are not materially reduced.

26Severance

26.1

Should any part of these Terms prove unlawful, invalid or unenforceable, that part will be treated as changed only as much as needed to make it lawful, valid and enforceable.

26.2

Where that cannot be done, the part concerned will be treated as removed.

26.3

All other parts of these Terms will stay fully in force.

27No waiver

27.1

If Job Pro fails or delays in using any right or remedy under these Terms, that does not mean the right or remedy has been given up.

27.2

A waiver only takes effect if it is made in writing.

28Entire agreement

28.1

These Terms form the agreement between you and Job Pro about your use of the Website.

28.2

They do not replace or take priority over any separate contract covering recruitment services.

28.3

If Job Pro has a separate written agreement with a Client or Candidate, that agreement governs the recruitment relationship wherever it conflicts with these Terms.

29Third-party rights

29.1

Except where we expressly say otherwise, no one who is not a party to these Terms has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any part of them.
